Iofold Labs Application Terms of Service

These Terms of Service ("Terms") govern your access to and use of Iofold Labs cloud services, websites, hosted applications, APIs, and related services, including Artifact Use (the "Services"). "Iofold", "we", "us", or "our" means Iofold Labs. "You" means the person or organization using the Services.
By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and that organization is responsible for your use.
1. Services
Iofold Labs provides cloud software for publishing, hosting, sharing, reviewing, and managing web artifacts, files, APIs, agent workflows, and related application functionality. We may add, modify, suspend, or discontinue features from time to time.
Open-source software published by Iofold may be governed by its open-source license. These Terms apply to Iofold-operated cloud Services and hosted accounts, not to independent third-party deployments unless those deployments separately adopt these Terms.
2. Accounts and access
You must provide accurate account information and keep it current. You are responsible for all activity under your account, workspace, API keys, access tokens, agent tokens, and share links. Keep credentials confidential and notify us promptly if you suspect unauthorized access.
You must be at least 13 years old to use the Services. If applicable law requires a higher minimum age, parental consent, or legal capacity to enter these Terms, you may use the Services only if you meet that requirement.
3. Customer content
You retain ownership of content you upload, publish, submit, or generate through the Services, including artifacts, files, code, images, documents, comments, configuration, and related data ("Customer Content"). You grant Iofold a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, process, and otherwise use Customer Content only as needed to provide, secure, support, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.
You are solely responsible for Customer Content and for the consequences of publishing, sharing, processing, or relying on it. You represent and warrant that you have all rights, permissions, licenses, consents, and legal bases needed to upload, publish, share, and process Customer Content through the Services.
4. Prohibited content and conduct
You must not use the Services to upload, publish, share, or process content that is illegal, harmful, infringing, fraudulent, defamatory, abusive, exploitative, or that you do not have the right to publish or process. You must not use the Services to violate privacy rights, intellectual property rights, confidentiality obligations, export controls, sanctions, or any applicable law.
You must not misuse the Services, interfere with service operation, bypass access controls, probe or attack systems without authorization, distribute malware, scrape or harvest data unlawfully, overload infrastructure, send spam, impersonate others, misrepresent artifact access or authorship, or help anyone do these things.
Do not upload highly sensitive, regulated, or confidential information unless you have confirmed that your use is lawful and appropriate for the Services and you have implemented any required contractual, security, consent, and compliance measures.
5. Published artifacts and sharing
The Services may let you publish artifacts through public links, email gates, verified email gates, allowlists, share links, APIs, and agent workflows. You are responsible for choosing appropriate access controls and for understanding that anyone with access may view, copy, download, or redistribute content outside the Services.
Iofold does not review all Customer Content before publication. We may remove or restrict access to content, accounts, links, tokens, or workspaces if we believe there is a violation of these Terms, legal risk, security risk, abuse, non-payment, or harm to the Services or third parties.
6. Fees, plans, and refunds
The Services may include free, freemium, trial, paid, usage-based, or enterprise features. Paid plans, limits, prices, taxes, and billing cycles are presented at purchase or in an applicable order, invoice, or plan page. You authorize us and our payment providers to charge applicable fees and taxes.
Refund requests must be sent to hello@iofold.com. Refunds are considered only in cases of material service deficiency, unless applicable law requires otherwise. We may downgrade, limit, suspend, or terminate paid features for non-payment.
7. Support, availability, and changes
We aim to operate reliable Services, but we do not guarantee uninterrupted availability, error-free operation, preservation of all data, or that any feature will continue unchanged. Unless a separate written agreement says otherwise, we do not provide a service-level agreement, uptime credit, or dedicated support commitment.
8. Third-party services
The Services may integrate with third-party providers for authentication, hosting, email, payments, analytics, APIs, agent clients, and other functionality. Third-party services are governed by their own terms and policies. We are not responsible for third-party services that we do not control.
9. Privacy
Our Privacy Policy explains how we collect, use, and share personal information. By using the Services, you acknowledge that we process information as described there.
10. Intellectual property
Iofold and its licensors retain all rights in the Services, software, designs, documentation, names, logos, and related technology. Except for rights expressly granted by these Terms or an open-source license, you receive no rights to Iofold intellectual property.
If you submit suggestions, feedback, or ideas, you grant Iofold permission to use them without restriction or compensation.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or liability, fail to pay fees, or use the Services in a way that may harm Iofold, users, third parties, or the Services. We may also terminate inactive or free accounts after reasonable notice where practical.
After termination or deletion, we may delete or disable access to Customer Content and account data, subject to our Privacy Policy, legal requirements, backups, and legitimate operational needs.
12. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, Iofold disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, and accuracy.
You are responsible for verifying artifacts, generated outputs, code, documents, analytics, and any decisions made using the Services. The Services are not legal, financial, medical, compliance, or professional advice.
13. Limitation of liability
To the maximum extent permitted by law, Iofold will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, business interruption, or substitute services, even if we were advised such damages were possible.
To the maximum extent permitted by law, Iofold's total liability for all claims relating to the Services or these Terms will not exceed the amounts you paid to Iofold for the Services giving rise to the claim during the three months before the event giving rise to liability, or INR 10,000 if you used only free Services.
14. Indemnity
You will defend, indemnify, and hold harmless Iofold, its affiliates, officers, directors, employees, contractors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or relating to your Customer Content, your use of the Services, your breach of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.
15. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to any mandatory rights under applicable law, disputes relating to these Terms or the Services will be resolved by competent courts in India.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we may provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
